1. Acceptance of these terms
These Terms & Conditions (the "Terms") govern your access to and use of emerald.digital and any related services, content, or tools made available by Emerald Digital, LLC ("Emerald Digital," "we," "us," or "our"). By accessing the site or engaging with our services, you agree to these Terms. If you do not agree, do not use the site.
If you use the site on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Our services
The site provides marketing information, thought leadership, and intake tools to evaluate a potential engagement with Emerald Digital. Paid services such as strategy, media buying, SEO, creative, and lifecycle marketing are delivered under a separate written agreement (a Master Services Agreement, Statement of Work, or Order Form) that controls in the event of a conflict with these Terms.
3. Eligibility and account use
You must be at least 18 years old and able to form a binding contract to use the site or submit a lead. If you create an account or are invited to a shared workspace, you are responsible for maintaining the confidentiality of your credentials and for all activity under them. Notify us promptly of any unauthorized use at security@emerald.digital.
4. Acceptable use
You agree not to misuse the site. The following activities are prohibited:

- Accessing non-public areas of the site, our systems, or accounts that do not belong to you.
- Scraping, crawling, or harvesting content beyond what is permitted by our robots.txt or a written agreement.
- Introducing malware, exploits, or conducting denial-of-service attacks.
- Reverse engineering or copying proprietary material for competitive purposes.
- Submitting false information, including fake contact details or budget signals, through our forms.
- Using the site or our services in violation of applicable law, including export controls and sanctions regimes.
5. Intellectual property
The site, including text, graphics, logos, photographs, video, downloadable assets, and the look and feel, is owned by Emerald Digital or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view and share the site for personal, non-commercial use or for internal evaluation of Emerald Digital's services.
All trademarks, service marks, and trade names used on the site are the property of their respective owners. Nothing on the site grants you any license or right to use any trademark without the prior written permission of its owner.
6. User submissions
If you submit information through the site, including discovery notes, creative briefs, account access, or reference materials, you represent that you have the right to share it and that the information does not violate the rights of any third party. You grant Emerald Digital a non-exclusive, worldwide, royalty-free license to use the information to respond to your inquiry and to deliver services, subject to our Privacy Policy and any applicable data processing addendum.
7. Third-party links and services
The site may link to third-party websites, tools, and services. We provide those links for convenience and do not endorse or assume responsibility for the content, policies, or practices of any third party. Use of third-party services is governed by their own terms.
8. Disclaimers
The site and all content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that any information on the site is accurate, complete, or current.
Performance data, case studies, and results shared on the site are representative outcomes from past engagements. Your results will depend on your market, product, team, budget, and execution. Nothing on the site is a guarantee of future results.
9. Limitation of liability
To the maximum extent permitted by law, Emerald Digital and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the site. Our total liability for any claim arising from or related to the site is limited to one hundred U.S. dollars ($100). Limitations of liability in a signed services agreement control for paid engagements.
10. Indemnification
You agree to indemnify and hold harmless Emerald Digital from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the site, your violation of these Terms, or your violation of any third-party right, including any intellectual property or privacy right.
11. Termination
We may suspend or terminate your access to the site at any time, for any reason, with or without notice. Sections of these Terms that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
12. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. The exclusive venue for any dispute that is not subject to arbitration will be the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting legal@emerald.digital. If we cannot resolve the dispute within 60 days, either party may pursue formal resolution.
13. Changes to these terms
We may update these Terms to reflect changes in our practices or the law. When we do, we will update the effective date below and, for material changes, highlight them at the top of this page. Continued use of the site after an update constitutes acceptance of the revised Terms.
